Paramount Sues Warner Bros. Over Netflix Deal
Just days after Warner Bros. Discovery’s board once again rejected its acquisition offer, Paramount has filed a lawsuit against the company. The complaint demands that the court make public the full details of the billion-dollar agreement Warner Bros. signed with Netflix.
Last month, Netflix announced its intention to acquire Warner Bros. for $83.7 billion. Soon after, Paramount launched a hostile takeover bid for the entire Warner Bros. Discovery group — an offer that the board rejected multiple times.
According to Paramount’s CEO, David Ellison, this legal action aims to obtain more transparency regarding the Netflix deal, allowing shareholders to make an informed decision about the company’s future.
Paramount Challenges the Netflix Agreement
In a letter addressed to Warner Bros. Discovery shareholders, Ellison criticized the board’s reasons for refusing Paramount’s offer, describing them as increasingly imaginative. He claimed the leadership had concealed the true value of the Netflix operation.
Warner Bros. Discovery had advised shareholders to reject Paramount’s proposal and instead favor Netflix’s, despite Paramount’s offer reportedly being financially superior. Ellison argues that the disclosed terms of the Netflix deal are deliberately vague and might not be as profitable for shareholders as they seem.
Ellison insists that the best outcome for both shareholders and the companies involved would be for Warner Bros. Discovery’s board to exercise its contractual right to reopen negotiations with Paramount.
He concluded the letter by stating, “If it does so, we will be open and constructive to secure the best path forward for WBD and each of you.”
